Welcome to Merrymorrow.

These Terms of Service (“Terms”) explain the rules that apply when you access Merrymorrow.com (the “Site”), create an account, place an order, submit content, or otherwise use the features and services available through the Site (collectively, the “Services”).

Throughout these Terms, “Merrymorrow,” “we,” “us,” and “our” refer to the business operating the Site. “You” and “your” refer to the person accessing the Site or purchasing from us.

Please read these Terms carefully before using the Site.

By accessing the Site, creating an account, or placing an order, you agree to these Terms. If you do not agree, please do not use the Site or submit an order.

Our Privacy Policy, Shipping Policy, Return Policy, and any product-specific or promotional terms presented to you are incorporated into these Terms by reference.

Nothing in these Terms limits any consumer right that cannot lawfully be waived or restricted.

01 ✦ ELIGIBILITY & ACCEPTANCE

Who may use the Site?

You may browse the Site without creating an account.

To create an account or make a purchase, you must:

Do I need an account to place an order?

No. Guest checkout may be available.

If you create an account, you are responsible for:

• Restricting access to your device and account
• Promptly notifying us of suspected unauthorized activity
• All activity conducted through your account, except where applicable law provides otherwise

You may not impersonate another person, create an account using false information, or transfer your account without our permission.

03 ✦ PRODUCT INFORMATION

We work to present product descriptions, specifications, photographs, dimensions, materials, colors, and availability as accurately as reasonably possible.

However, please understand that:

✓ Screen settings may affect how colors appear
✓ Measurements may have minor reasonable variations
✓ Hand-painted, hand-finished, distressed, or mixed-material products may vary slightly from one piece to another
✓ Packaging may change without altering the product itself
✓ Lifestyle photographs may include decorative props that are not included with the product
✓ Product appearance may vary under different lighting conditions

Minor variations that are consistent with the product’s materials, finish, or production method are not necessarily defects.

Please review the complete product description, dimensions, included components, and care instructions before ordering.

Unless expressly stated otherwise, decorative products are not toys and should be kept away from children and pets when their size, materials, electrical components, or small parts create a safety concern.

04 ✦ AVAILABILITY & PURCHASE LIMITS

Products may be offered in limited quantities and may become unavailable without advance notice.

We may impose reasonable purchase limits based on:

• Available inventory
• Product demand
• Shipping restrictions
• Suspected fraud or unauthorized payment activity
• Orders that appear intended for unauthorized resale
• Applicable legal or carrier requirements

We may discontinue a product or restrict delivery to certain locations. Any offer is void where prohibited by law.

We will not refuse service or restrict an order for an unlawful discriminatory reason.

05 ✦ PRICES, TAXES & CURRENCY

Unless otherwise displayed, all prices and transactions are in U.S. dollars (USD).

Prices may change before an order is placed. A price change will not normally affect an order that has already been accepted, except where there is a clear pricing or technical error.

Your final checkout total may include:

✓ Optional services selected by you
✓ International shipping charges, when applicable
✓ Other charges clearly disclosed before the order is submitted

Import duties, customs charges, currency conversion fees, and fees imposed by your bank or payment provider may not be included in the checkout total. Please review our Shipping Policy for additional information.

We do not add undisclosed mandatory charges after you submit an order.

06 ✦ PAYMENTS

You represent that you are authorized to use the payment method submitted with your order.

Payments may be processed by third-party payment providers such as card processors or digital wallet providers. Their services may be governed by separate terms and privacy practices.

A payment authorization does not necessarily mean that the order has been accepted or shipped.

If a payment is declined, reversed, disputed, incomplete, or identified as potentially unauthorized, we may:

• Request additional verification
• Pause order processing
• Cancel the affected order
• Restrict further transactions where reasonably necessary

We do not directly store your complete payment card number or payment-account password.

07 ✦ ORDER ACCEPTANCE

After submitting an order, you should receive an Order Confirmation email. This email confirms that we received your order; it does not necessarily confirm final acceptance or shipment.

An order may be reviewed before processing.

We may cancel or limit an order for legitimate reasons, including:

• Product unavailability
• Payment verification problems
• An incomplete or undeliverable address
• A material pricing or product-listing error
• Suspected fraud, abuse, or unauthorized resale
• Legal, carrier, or geographic restrictions
• Duplicate orders submitted unintentionally

If we cancel an order after payment has been collected, we will issue a refund for the canceled amount to the original payment method.

We may contact you using the email address or telephone number entered at checkout when additional information is required.

08 ✦ CHANGES & CANCELLATIONS

Because orders may enter processing quickly, we cannot guarantee that a requested change or cancellation will be completed.

Orders that have already been prepared, packed, personalized, or shipped may not be eligible for cancellation or modification.

If we successfully cancel an eligible order, the refund will be returned to the original payment method. Your bank or payment provider may require additional time to post the credit.

Custom, personalized, made-to-order, and final-sale products may have additional restrictions disclosed on the product page or in the Return Policy.

09 ✦ SHIPPING & DELIVERY

Order processing, free U.S. standard shipping, Priority Processing, tracking, delivery estimates, international shipments, customs charges, address problems, and carrier delays are governed by our Shipping Policy.

Current standard U.S. shipping information includes:

✓ No minimum purchase required
✓ Estimated delivery in 10–15 business days
✓ Tracking included with every shipment
✓ Optional Priority Processing for $7.99 per order

Delivery dates are estimates unless expressly identified as guaranteed.

If we cannot ship an order within the stated shipment timeframe, we will provide an updated estimate and any cancellation or refund options required by applicable law.

10 ✦ RETURNS, REFUNDS & ORDER PROBLEMS

Return eligibility, return instructions, deadlines, condition requirements, shipping responsibilities, final-sale exclusions, and refund processing are governed by our Return Policy.

Do not send an item back without receiving return authorization and the correct return instructions.

If an item arrives damaged, defective, incorrect, or missing, contact us within the timeframe stated in our Return Policy and provide:

✓ A description of the problem
✓ Clear photographs of the item
✓ Photographs of the packaging
✓ A photograph of the shipping label

Approved refunds are normally issued to the original payment method.

Nothing in our Return Policy or these Terms limits any non-waivable consumer rights available under applicable law.

11 ✦ PROMOTIONS & DISCOUNT CODES

Promotions, discount codes, gifts with purchase, and limited-time offers may be governed by additional terms displayed with the offer.

Unless otherwise stated:

• Only one discount code may be used per order
• Codes cannot be combined with other offers
• Codes have no cash value
• Codes cannot be applied after an order is submitted
• Discounts may exclude selected products or services
• Expired codes will not be accepted
• Promotions may be limited by customer, household, address, payment method, or order

We may cancel or correct a promotion affected by fraud, technical malfunction, unauthorized distribution, or a clear publication error.

If an error affects an order you already submitted, we will notify you and provide appropriate options before proceeding.

12 ✦ REVIEWS, PHOTOS & USER CONTENT

You may have the opportunity to submit a review, photograph, question, comment, suggestion, or other material (“User Content”).

You retain ownership of your original User Content.

When you voluntarily post User Content in a public area of the Site, you grant Merrymorrowa non-exclusive, worldwide, royalty-free license to host, reproduce, format, and display that content in connection with the Site and the product or service it concerns.

This license does not transfer ownership of your content to us.

Photographs or information sent privately for customer-support purposes will not be used as promotional customer content without separate permission, except as reasonably necessary to investigate or resolve your request.

Review standards

Reviews and testimonials must reflect a genuine experience.

You may not submit content that:

• Is fake, purchased, or knowingly misleading
• Impersonates another person
• Contains private or confidential information
• Infringes copyright, trademark, privacy, or other rights
• Contains unlawful threats, harassment, hate speech, or obscene material
• Contains malicious code, advertising, or unrelated spam
• Misrepresents an employment, family, financial, or promotional relationship

If you received a free product, discount, payment, or another incentive connected to a review, that relationship must be clearly disclosed where required.

We may moderate or remove content that violates these standards. We will not remove or penalize an honest review merely because it is critical or negative.

You are responsible for ensuring that you have the right to submit your User Content.

13 ✦ INTELLECTUAL PROPERTY

The Site and its content—including text, photographs, product graphics, logos, page designs, videos, icons, software, and other materials—are owned by or licensed to Merrymorrow and are protected by applicable intellectual-property laws.

We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for personal, non-commercial shopping purposes.

Without prior written permission, you may not:

• Reproduce or republish substantial Site content
• Sell, license, or commercially exploit Site materials
• Remove copyright, trademark, or ownership notices
• Copy product photography for another store or marketplace
• Use our name, logo, or branding in a misleading manner
• Create unauthorized derivative commercial materials
• Use automated systems to extract substantial amounts of Site content

Merrymorrow names, logos, and design elements may not be used in a way that suggests sponsorship, endorsement, or affiliation without permission.

14 ✦ ACCEPTABLE USE

You agree not to use the Site or Services to:

• Violate applicable law or the rights of another person
• Commit fraud or submit false payment information

• Interfere with Site security or normal operation
• Attempt unauthorized access to an account, server, or network
• Collect personal information about other users without authorization
• Send spam, phishing messages, or deceptive communications
• Use bots, crawlers, or scraping tools in a manner that burdens the Site or violates these Terms
• Reverse engineer Site software except where expressly permitted by law
• Harass, threaten, abuse, or unlawfully discriminate against another person

• Circumvent purchasing limits, security controls, or fraud-prevention measures

We may investigate suspected misuse and take proportionate action, including limiting or suspending access.

A link or integration does not necessarily mean that Merrymorrow controls or endorses the third party.

16 ✦ PRIVACY & ELECTRONIC COMMUNICATIONS

Our collection, use, storage, and disclosure of personal information are described in our Privacy Policy.

By placing an order or contacting us electronically, you agree that we may send you transactional communications relating to:

• Order confirmation
• Payment verification
• Shipping and tracking
• Returns and refunds
• Account security
• Customer-support requests
• Material changes affecting an active order

Transactional messages are separate from marketing messages and may still be sent when necessary to complete or service your order.

Marketing communications are subject to the consent and opt-out choices described in our Privacy Policy and the communication itself.

No method of internet transmission or electronic storage is completely secure. We use reasonable measures intended to protect information, but we cannot guarantee absolute security.

17 ✦ SITE AVAILABILITY & CHANGES

We do not guarantee that every Site feature will always be available, uninterrupted, or error-free.

A change to the Site will not eliminate obligations relating to an accepted order, required refund, or other consumer right that already exists.

New Site features will be subject to these Terms unless separate terms are presented.

18 ✦ ERRORS & CORRECTIONS

Despite reasonable efforts, the Site may occasionally contain an error involving:

• Dimensions
• Prices or discounts
• Inventory availability
• Shipping charges or delivery estimates
• Promotional terms
• Typographical or technical information

We may correct an error and update the affected information.

If a material error affects an order you submitted, we may contact you before fulfillment and offer an appropriate option, such as:

20 ✦ LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Merrymorrow and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising from use of the Site or purchase of a product.

Where liability may lawfully be limited, our aggregate liability for a claim relating to an order will not exceed the amount paid for the product or order directly giving rise to that claim.

These limitations do not apply to liability that cannot lawfully be excluded or limited, including liability arising from:

• Fraud or fraudulent misrepresentation
• Willful misconduct
• Gross negligence where applicable
• Death or personal injury where limitation is prohibited
• A violation of non-waivable consumer rights

Some states or jurisdictions do not permit certain liability exclusions or limitations. If those laws apply, some portions of this section may not apply to you.

21 ✦ INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold Merrymorrow harmless from a third-party claim arising directly from:

• Your unlawful use of the Site
• Your material breach of these Terms
• User Content that infringes another party’s rights
• Fraudulent or intentionally harmful conduct by you

This obligation does not apply to the extent a claim results from Merrymorrow’s own unlawful conduct, negligence, or breach of duty.

We will provide reasonable notice of an indemnified claim and allow reasonable participation in its defense.

22 ✦ EVENTS OUTSIDE REASONABLE CONTROL

Neither party will be responsible for a delay caused by an event outside that party’s reasonable control, such as a natural disaster, severe weather, widespread carrier disruption, government action, labor interruption, internet or utility failure, public-health emergency, or similar event.

The affected party should take reasonable steps to reduce the impact of the delay.

This section does not eliminate your right to receive a required delay notice, cancel an unshipped order, or obtain a refund where applicable law provides that right.

23 ✦ SUSPENSION & TERMINATION

You may stop using the Site at any time.

We may restrict or suspend access when we reasonably believe it is necessary to:

• Address a material violation of these Terms
• Protect Site or account security
• Prevent fraud or unlawful conduct
• Comply with a legal requirement
• Prevent material harm to another user or the Services

Where appropriate, we may provide notice or an opportunity to correct the issue.

Termination of Site access does not eliminate obligations or rights that arose before termination. Provisions that logically need to continue—including payment obligations, intellectual-property protections, liability provisions, and dispute terms—will survive.

An existing order will not be canceled solely because you stop browsing or close an account.

24 ✦ GOVERNING LAW & DISPUTES

Except where mandatory consumer law provides otherwise, these Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles.

Mandatory consumer protections available where you live are not waived where they cannot legally be waived.

Before filing a formal claim, we encourage you to contact us so we can attempt to resolve the issue. This informal step is not intended to prevent you from exercising a legal right or contacting a consumer-protection authority.

Any dispute that is not resolved informally may be brought before a court with lawful jurisdiction over the dispute.

These Terms do not require mandatory arbitration and do not prevent either party from using an eligible small-claims process where available.

25 ✦ GENERAL LEGAL TERMS

Entire agreement

These Terms and the policies incorporated into them form the agreement between you and Merrymorrow regarding use of the Site and purchases made through it.

Product-specific terms and information displayed at checkout may supplement these Terms for a particular transaction.

Severability

If a provision is found unlawful or unenforceable, it will be modified only to the minimum extent necessary or severed where modification is not possible. The remaining provisions will continue in effect.

No waiver

A failure to enforce a provision on one occasion does not waive the right to enforce it later.

Assignment

You may not transfer your rights or obligations under these Terms without our written permission.

We may transfer our rights and obligations as part of a merger, sale, reorganization, or transfer of the business, provided the transfer does not unlawfully reduce your existing consumer rights.

Headings

Headings and numbering are provided for organization and convenience. They do not change the meaning of these Terms.

26 ✦ CHANGES TO THESE TERMS

We may update these Terms to reflect changes in our Services, business practices, technology, or legal requirements.

When we make changes, we will update the “Last Updated” date at the top of this page. Material changes will apply prospectively unless applicable law requires otherwise.

The Terms in effect when an order is placed will generally continue to govern that order.

Continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms where permitted by law.
